Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern the use of the GoSendAPI Cloud platform ("the Service"), operated by Gestic OR SA ("we", "us"). By using the Service the Customer accepts these Terms.

2. Service description

GoSendAPI Cloud provides a software layer that allows integrators (SaaS companies, agencies, internal systems) to send and receive messages using Meta Platforms, Inc.'s WhatsApp Business Cloud API. The Service includes template management, webhooks, WABA account management, credential encryption, and message traceability.

3. Compliance with Meta's policies

The Customer agrees to comply with the following Meta policies in force at any given time:

Non-compliance with these policies may result in suspension of the Service without prior notice.

4. End user consent and opt-in

The Customer is solely responsible for obtaining and maintaining explicit opt-in from each end user prior to sending any message through the Service. Opt-in must be collected through the Customer's own channels (website forms, checkout flows, in-store collection, mobile app prompts) in compliance with applicable law and with Meta's WhatsApp Business Messaging Policy. The Customer represents and warrants that valid, current opt-in exists for every recipient and agrees to retain records of such opt-in and to produce them at our or Meta's reasonable request. Failure to comply with this obligation is a material breach of these Terms and may result in immediate suspension of the Service.

5. Acceptable use

The Customer may not:

  • Send unsolicited messages (SPAM), mass messages without consent, or messages that violate anti-spam regulations.
  • Impersonate identity or use third-party numbers or names without authorization.
  • Distribute illegal, fraudulent, defamatory, obscene content, or content infringing intellectual property rights.
  • Reverse engineer, attempt to access unauthorized infrastructure, or interfere with Service operation.
  • Resell the Service to third parties without written agreement with the Operator.

6. Accounts, credentials, and Customer responsibility

The Customer is responsible for the confidentiality of their API credentials and for all activity performed under their account. They must immediately report any unauthorized use.

7. Payments to Meta

Messaging costs established by Meta are paid directly by the Customer to Meta. Gestic OR SA acts as a Tech Provider and does not bill conversations or messages; Service costs are billed separately according to the prevailing commercial agreement.

8. Availability and SLA

During the beta phase the Service is provided "as is" without service-level commitment (SLA). We make reasonable efforts to maintain continuous availability. A formal SLA applicable to contracted plans will be published thereafter.

9. Limitation of liability

Except in cases of willful misconduct or gross negligence, Gestic OR SA shall not be liable for indirect damages, lost profits, loss of data, or Service interruptions originating from causes beyond its control (including changes or suspensions by Meta). Total cumulative liability is limited to the amount paid by the Customer in the 12 months prior to the event.

10. Suspension and termination

We may suspend or terminate the Service if: (a) the Customer breaches these Terms or Meta's policies; (b) required by a competent authority; (c) for security reasons. The Customer may cancel the Service at any time by giving written notice.

11. Intellectual property

All software, trademarks, and Service content are the property of Gestic OR SA or its licensors. The Customer is granted no right beyond use of the Service in accordance with these Terms.

12. Modifications

We may modify these Terms. We will notify substantial changes by email with at least 15 days' notice. Continued use of the Service implies acceptance of the modified Terms.

13. Jurisdiction and applicable law

These Terms are governed by the laws of the Argentine Republic. The parties submit to the jurisdiction of the ordinary courts located in the City of Buenos Aires, waiving any other venue.
